Terms & Conditions
These Terms & Conditions (“Agreement”) govern the engagement between the client (“Client”) and Arie Rose (“Speaker”) for speaking engagements, workshops, panels, or related services (collectively, “Event”). By confirming a booking, the Client agrees to the following:
1. Engagement & Scope of Services

Services. The Speaker will deliver the agreed-upon presentation, workshop, panel participation, or other appearance (“Services”) at the date, time, and location set forth in the Client’s booking confirmation.

Deliverables. Any materials, handouts, or slide decks provided by the Speaker remain the Speaker’s intellectual property and may not be reproduced, used, or distributed beyond the Event without prior written consent.
2. Fees & Payment

Honorarium. The total fee for the Services (“Honorarium”) will be stated in the Speaker’s proposal or invoice.

Deposit. A non-refundable deposit of 50% of the Honorarium is due upon contract execution to secure the date.

Balance. The remaining 50% is due no later than 30 days prior to the Event. If the booking is made within 30 days of the Event, the full Honorarium is due immediately.

Late Payment. Late payments are subject to a 5% late fee per month on the outstanding balance.
3. Cancellation & Postponement

By Client.
-
More than 60 days before the Event: deposit is forfeited; balance is waived.
-
30–60 days before the Event: deposit is forfeited; 50% of the remaining balance is due.

Less than 30 days before the Event: 100% of the Honorarium is due.

By Speaker. In the unlikely event the Speaker must cancel, all fees paid will be fully refunded, and the Speaker will use reasonable efforts to secure a suitable replacement.

Postponement. If the Client requests to change the Event date more than once, Speaker reserves the right to treat the second request as a cancellation and re-booking.
4. Travel & Accommodation

Travel Expenses. Client is responsible for round-trip economy airfare (or ground transportation), lodging (standard single room), and all reasonable ground transportation, parking, and related expenses.

Per Diem. A per diem for meals and incidentals may be invoiced if travel requires overnight stay.
5. Technical & Venue Requirements

A/V Requirements. Client will provide at no cost:

A wired lavalier or handheld microphone

Laptop-compatible projector and screen

Sound system and technician
-

Room Setup. A quiet, well-lit space with adequate seating, water for the Speaker, and a small table or podium.
6. Force Majeure
Neither party will be liable for delays or failures due to causes beyond its reasonable control (e.g., natural disasters, acts of government, pandemics). In such an event, the parties will work in good faith to reschedule the Event.
7. Intellectual Property & Recording

Ownership. All materials, speeches, and slide decks provided by the Speaker are the Speaker’s copyrighted works.

Recording. Audio or video recording of the Speaker’s presentation is prohibited without prior written consent; any approved recordings remain the Speaker’s property and require a licensing agreement.
8. Publicity & Promotion

Use of Name and Likeness. Client may use Speaker’s name, photograph, and biographical information to promote the Event, provided such use is professional and pre-approved in writing.

Press Releases. Any Event-related press or media outreach using the Speaker’s name or credentials must be submitted to the Speaker for approval at least 14 days in advance.
9. Confidentiality
Each party agrees to keep confidential any proprietary or sensitive information disclosed in connection with the Event, unless such information is already publicly known.
10. Liability & Indemnification

Liability. Speaker’s total liability under this Agreement shall not exceed the total fees paid by Client.

Indemnification. Client will indemnify and hold harmless the Speaker from claims, damages, or expenses arising from the Client’s negligence, breach of this Agreement, or willful misconduct.
11. Governing Law & Dispute Resolution
This Agreement will be governed by the laws of the State of California. Any disputes arising under or in connection with this Agreement will be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.
12. Acceptance
By signing or otherwise confirming the booking in writing or via email, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions in full.
